1. Acceptance of these terms
These Terms of Service (the "Terms") form a legal agreement between you (the "Customer") and Cresion AI, Inc., a Delaware corporation and operator of the Ceres service ("we", "us", "our"). By creating an account or using the service, you confirm that you have read, understood, and agree to these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, do not use the service.
2. The service
AgentCeres is a managed software-as-a-service offering — your AI Growth Officer — that deploys and operates AI agents which perform scheduled work on your behalf: collecting data, producing briefings, drafting outbound content, and building and publishing websites for your business. Messages and posts sent to other people go out as drafts for your approval, unless you turn on Auto mode for a project; pages on a site we host for you are published when you ask for them, without a separate approval step (see section 6b). Spending more on advertising, or reaching new people with it, requires your explicit approval; inside an advertising plan you approved, the agents may pause a campaign or lower a budget without asking.
The specific features, limits, and capabilities included with your subscription depend on the plan you select. Plan details are described on our pricing page and may change over time; changes that materially reduce what you pay for will not apply to your current billing term.
3. Your account
- You must provide accurate sign-up information and keep it current.
- You are responsible for all activity under your account, including any sub-users you authorize.
- You must protect your credentials and notify us promptly of any unauthorized access.
- We may refuse service, suspend, or close an account that violates these Terms or applicable law.
4. Fees & billing
Subscription fees are charged in advance on a monthly or annual basis, depending on the plan you choose. All fees are stated in US dollars and are exclusive of any taxes; you are responsible for any sales, use, or value-added taxes that apply in your jurisdiction.
We use Stripe to process payments. By paying, you also accept Stripe's terms. Failed payments may lead to suspension after reasonable notice. You can cancel any time from the Portal; cancellation stops future billing cycles but does not trigger a refund of the current cycle. Refunds are at our sole discretion and are not guaranteed; if you believe a refund is warranted, you may request consideration by emailing [email protected].
5. Free trial
New customers may receive a 14-day free trial of the service. No credit card is required to start a trial. During the trial we operate the service in full, but we may impose reasonable usage caps, rate limits, or feature restrictions (including a cap on included LLM usage) to prevent abuse. At the end of the trial the service pauses unless you subscribe to a paid plan; no charges are incurred unless you choose a plan. You can stop using the service at any time during the trial without charge.
6. Acceptable use
You agree not to use the service to:
- Violate any law, regulation, or third-party right.
- Send spam, phishing messages, or other unsolicited communications.
- Collect or scrape data in violation of another party's terms of service, or against applicable law.
- Upload content that infringes intellectual property, defames, or harasses.
- Attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or its infrastructure.
- Use the service to train a product that competes with Ceres.
- Break the rules for members areas in section 6a, or the rules for sites and selling in section 6b.
We reserve the right to refuse specific use cases that, in our reasonable judgment, create disproportionate risk to our infrastructure or to third parties. We will explain any such refusal.
6a. Members areas
On a paid plan, a page on a site we host for you can be restricted to people you list. They open it by signing in with a link we email to their address. We call these pages "members areas". You are responsible for everything you put behind a sign-in exactly as you are for a public page, and the rules in this section apply to it in addition to section 6. Add only the email addresses of people who have bought from you, signed up with you, or whom you are otherwise entitled to contact; we send a sign-in email only to an address you have listed or that came with a paid order.
What a members area is for.
- Courses, lessons, ebooks, guides, templates, presets, recipes, workout and study plans, and coaching material.
- Community pages that link to a WhatsApp or Telegram group.
- Software license keys or downloads that you own.
- Exclusive posts, and videos hosted elsewhere and linked (for example unlisted on YouTube or Vimeo).
What you may not put behind a sign-in.
- Sexually explicit content: nudity in a sexual context, sexual acts, “+18” content and “packs”, and anything sold as erotic.
- The sale of sexual services or companionship.
- Gambling tips, “sinais”, or casino and betting referral content.
- Get-rich schemes, pyramid schemes, and offers of “guaranteed extra income”.
- Courses, ebooks or packs you do not own the rights to, including resold “PLR” packs of other people's courses.
- Anything illegal, and anything that sexualizes minors. We have zero tolerance for the latter: we remove it, and we report apparent child sexual abuse material to the National Center for Missing & Exploited Children as US law requires.
Content behind a sign-in cannot be seen by the public, so we cannot rely on the public to tell us about it. Images saved in a members area are checked automatically and an explicit image is refused; we may also review members pages ourselves. If you believe a members page breaks these rules, use the "Report this page" link on its sign-in page or email [email protected].
We act on reports. We may take a page or a whole site down without notice while we look into it. If you repeat a violation, we close your account.
6b. Your site and what you sell
AgentCeres can build, publish and host a website for your business. We host it; you run it. You are the publisher of every page on it and the merchant for everything sold through it. This applies whether you wrote a page yourself or asked an agent to write it, and whether the page is public or a members area.
What the agents write is yours once it is published.
When you ask for a page, the agents draft it from what you tell them and may fill gaps with example text: a business name, prices, product details, delivery times, warranty terms, guarantees, certifications or reviews. A page you ask us to publish, or keep online after it is published, is your statement to your visitors. Before you share it, advertise it or sell through it, check every fact on it and correct or remove anything that is not true of your business. Asking an agent to change the page is enough.
You are responsible for:
- The accuracy of every claim on your site, including prices, stock, condition, origin, authenticity, warranties, guarantees, certifications, inspections, delivery times and results.
- Having the right to sell what you offer, and holding any licence, registration or permit your market requires.
- Delivering what you sell, and handling returns, refunds, warranty claims, complaints and disputes with your buyers.
- Identifying yourself as the seller wherever the law requires it — for example your legal or trading name, tax or company registration number, address and a way to contact you — and any other notice consumer-protection law in your market requires.
- Your buyers' and visitors' personal data that your site collects, and any privacy notice you owe them.
- Taxes and invoices on your sales.
We are not a party to your sales.
When a buyer pays on your site, the payment goes from the buyer directly to you — for example to your own Pix key — and the sale is between you and your buyer. AgentCeres does not receive, hold or refund that money, and does not guarantee your products, your delivery or your buyers' payments.
What you may not sell or claim.
- Counterfeit or replica goods, or goods presented as original or new when they are not.
- Goods or services you do not have and cannot deliver, or orders taken as prepayment you do not intend to fulfil.
- Pages that impersonate another company, bank, government body or person, or that copy their branding.
- Warranties, guarantees, certifications, inspections, awards, reviews or official checks you cannot back up.
- Anything the members-area rules in section 6a forbid, on a public page as well.
Our checks protect AgentCeres, not your business.
We scan pages before they are published and may review them, and we may refuse to publish a page or take a page or a whole site down, without notice, when we believe it breaks these Terms or the law. Those checks are a risk control for AgentCeres. They are not a review of your claims or legal advice to you, and they do not move any of the responsibilities in this section to us. If we run Google Ads for your site, the Google Ads disclosure also applies: you are the advertiser, and you are responsible for what your ads and the page they point at say.
7. Your data
You retain all rights to the data you submit to the service and the data the service collects on your behalf ("Customer Data"). We process Customer Data only to operate the service for you, and subject to our Privacy Policy and, for paid customers, the Data Processing Addendum.
We never use Customer Data to train shared AI models. We do not sell Customer Data. You may request an export of your data in JSON at any time, and we will provide it. On cancellation, we retain Customer Data for 30 days, then cryptographically purge it unless longer retention is required by law.
8. Intellectual property
The service, including its software, visual design, branding, and documentation, is our property or licensed to us. We grant you a non-exclusive, non-transferable, revocable license to use the service during your subscription, for your own business purposes.
Any feedback you give us about the service may be used without restriction or compensation; we appreciate it and will credit you publicly if you want credit.
9. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). Each party agrees to use the other's Confidential Information only to perform this agreement, to protect it with at least the same care it uses for its own sensitive information, and to return or destroy it on request after termination.
Confidential Information does not include information that is or becomes public without breach, that was known before receipt, or that is independently developed without reference to it.
10. Disclaimers
The service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
AI-generated outputs may contain errors. You are responsible for reviewing and approving any action the service recommends before it is executed on external systems. The human-in-the-loop approval flow exists for this reason — treat it as a safety feature, not a suggestion.
AI-generated content can also state things about your business that the agent inferred or made up as an example rather than learned from you. Content you publish, approve or leave online after it is published is treated as yours, and you are responsible for checking it as described in section 6b.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.
Our total aggregate liability under these Terms will not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars (US $100). Nothing in these Terms excludes liability for fraud, gross negligence, or willful misconduct.
12. Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, and costs arising out of your use of the service in violation of these Terms or applicable law, including claims that Customer Data you submit infringes a third party's rights.
You will also defend, indemnify, and hold us harmless from claims, damages, fines, and costs brought by your site's visitors or buyers, by regulators, or by advertising platforms, arising out of your site's content, your ads, or the products and services you sell or offer.
We will defend, indemnify, and hold you harmless from third-party claims alleging that the service (as provided by us and used within these Terms) infringes intellectual-property rights, subject to reasonable cooperation and our right to control the defense.
13. Term & termination
This agreement starts when you sign up and continues until terminated. Either party may terminate for material breach if the other party has not cured the breach within thirty days of written notice. You may also terminate by canceling your subscription from the Portal at any time — cancellation stops future charges.
On termination, your access to the service ends at the end of the current billing cycle. Sections on Your Data, Your Site and What You Sell (as to anything published or sold before termination), Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.
14. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court with jurisdiction to protect intellectual property or confidential information.
15. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify paid customers by email at least thirty days before the change takes effect. For non-material changes, we will update the "Last updated" date at the top of this page. Your continued use of the service after changes take effect constitutes acceptance.
